SPECTRUM DESIGNS – TERMS & CONDITIONS

1. DEFINITIONS

“Company” refers to Spectrum Designs (Marelize Joubert)
“Client” refers to any individual or business engaging services
“Services” include website design, hosting, maintenance, SEO, and related digital services

2. ACCEPTANCE OF TERMS

By engaging Spectrum Designs, the Client agrees to these Terms & Conditions in full.

3. QUOTATIONS & PAYMENT TERMS

  • All quotes are valid for 7 days unless otherwise stated
  • A 50% non-refundable deposit is required before work commences
  • The remaining balance is payable prior to website launch or handover
  • Spectrum Designs reserves the right to pause work on overdue accounts

4. HOSTING & DOMAIN SERVICES

  • Hosting and domain services are billed monthly or annually
  • Payment of hosting fees covers server space and technical infrastructure only
  • Hosting does not include ownership of website content, design, or intellectual property
  • Failure to pay may result in suspension or termination of hosting services

5. INTELLECTUAL PROPERTY (CRITICAL CLAUSE)

All work created by Spectrum Designs remains the intellectual property of the Company, including but not limited to:

  • Website design and layout
  • Code and development structure
  • Written content and blogs
  • SEO strategy and implementation
  • Lead generation tools, forms, and calculators

Ownership Transfer:

  • Intellectual property is not automatically transferred upon payment
  • Full ownership transfer requires a separate written agreement and buyout fee

Default Position:

Websites are licensed for use, not sold outright

6. CLIENT CONTENT

  • The Client retains ownership of all content they supply
  • The Client grants Spectrum Designs the right to use such content for project completion
  • The Client is responsible for ensuring they have rights to all provided content

7. PORTFOLIO & MARKETING RIGHTS

Spectrum Designs reserves the right to:

  • Display completed work in portfolios
  • Use projects for marketing and promotional purposes

8. PROJECT TIMELINES & CLIENT RESPONSIBILITY

  • Timelines depend on client feedback and content delivery
  • Delays in content submission may affect project timelines
  • The Client acknowledges that project success is a collaborative effort

9. REVISIONS & SCOPE

  • Projects include a defined number of revisions (as per quote)
  • Additional work outside the agreed scope will be billed separately

10. TERMINATION

Spectrum Designs reserves the right to terminate services if:

  • Payments are not made
  • Communication breaks down
  • The working relationship becomes unsustainable

Upon termination:

  • All licenses granted to the Client may be revoked
  • The Company may remove website content and systems created by them

11. DOMAIN TRANSFER

  • Domains registered by Spectrum Designs remain under Company control until transferred
  • Domain transfers will be facilitated upon request
  • Transfer does not include website content, design, or intellectual property

12. LIABILITY LIMITATION

Spectrum Designs is not liable for:

  • Loss of business, revenue, or data
  • Third-party service failures
  • Security breaches beyond reasonable control

13. GOVERNING LAW

These Terms are governed by the laws of South Africa, including the Copyright Act 98 of 1978.

14. NO PARTNERSHIP

Nothing in this agreement shall be construed as creating a partnership, joint venture, or shared ownership between Spectrum Designs and the Client.
